This End User License Agreement, also referred to as the "Agreement," governs access to and use of Rydek-ERP.
Rydek-ERP is a privately owned enterprise resource planning software application operated by Robey Tool Inc. Rydek-ERP is used internally for business operations and is not offered for public use, public purchase, resale, distribution, or general commercial licensing.
By accessing or using Rydek-ERP, each authorized user agrees to comply with this Agreement, applicable company policies, and all applicable laws and regulations.
Rydek-ERP is intended solely for authorized internal business use by approved users of Robey Tool Inc. or other specifically authorized persons.
Rydek-ERP is not a public software product, public marketplace application, consumer application, or software product offered for sale to the general public.
Access to Rydek-ERP and the data contained within Rydek-ERP is restricted. No information within Rydek-ERP is intended for public access.
Subject to this Agreement, Robey Tool Inc. grants authorized users a limited, revocable, non-exclusive, non-transferable license to access and use Rydek-ERP solely for approved internal business purposes.
This license does not grant ownership of Rydek-ERP, its software, workflows, configurations, data structures, source code, designs, branding, documentation, or related intellectual property.
Only authorized users may access Rydek-ERP. Authorized users may include employees, administrators, contractors, consultants, or other approved representatives who have been granted access by Robey Tool Inc.

Rydek-ERP may be used for internal business functions, including but not limited to:
Rydek-ERP may connect to QuickBooks Online using Intuit's API services. This integration is used to support authorized internal business and accounting workflows.
Depending on configuration, Rydek-ERP may access, create, update, import, export, or synchronize QuickBooks Online data, including but not limited to customers, vendors, items, products, services, accounts, estimates, invoices, bills, purchase orders, payments, journal entries, and related accounting records.
Rydek-ERP may only access a QuickBooks Online company after an authorized user grants permission through Intuit's authorization process.
Users are responsible for reviewing and verifying accounting data, transaction data, invoice data, bill data, and other synced information before relying on it for accounting, financial reporting, tax, operational, or business decisions.
Robey Tool Inc. is not responsible for errors caused by inaccurate source data, unauthorized user actions, improper configuration, duplicate entries, third-party service outages, or failure to review synchronized data.
Rydek-ERP is hosted by Base44, and data is stored inside the United States. Rydek-ERP may also integrate with QuickBooks Online and other third-party services.
Use of third-party services may be governed by separate terms, policies, and privacy practices of those third-party providers.
Rydek-ERP is not owned, operated, endorsed, or controlled by Intuit unless expressly stated in a written agreement. QuickBooks Online and Intuit are third-party services used for accounting-related integration.

Rydek-ERP, including its software configuration, workflows, page layouts, business logic, documentation, branding, and related materials, is owned by or licensed to Robey Tool Inc.
No rights are granted except the limited right to access and use Rydek-ERP as expressly provided in this Agreement.
Rydek-ERP contains confidential and proprietary business information. Users must protect all information accessed through Rydek-ERP and may not disclose such information except as authorized by Robey Tool Inc.
Confidential information may include, but is not limited to:
Users must follow all security requirements established by Robey Tool Inc. Users must promptly report suspected unauthorized access, credential compromise, data exposure, or system misuse.
API credentials, client secrets, access tokens, refresh tokens, and other integration credentials must not be disclosed, copied, published, embedded in public code, or shared with unauthorized persons.
Rydek-ERP is a tool used to support internal business operations. Users are responsible for confirming the accuracy and completeness of records before relying on them.
Accounting entries, invoices, bills, purchase orders, inventory records, and other business records should be reviewed by authorized personnel before being used for financial reporting, tax reporting, customer billing, vendor payment, or operational decisions.
Rydek-ERP may be modified, updated, suspended, restricted, or discontinued at any time. Access may also be affected by maintenance, outages, third-party service interruptions, hosting provider issues, QuickBooks Online availability, API changes, internet connectivity, or other technical conditions.
Robey Tool Inc. does not guarantee uninterrupted or error-free operation.
User access may be terminated, suspended, or restricted at any time, with or without notice, for reasons including but not limited to:
Upon termination of access, the user must stop using Rydek-ERP immediately.
An authorized administrator may disconnect Rydek-ERP from QuickBooks Online. Once disconnected, Rydek-ERP will no longer have access to the connected QuickBooks Online company unless access is reauthorized.
Disconnecting QuickBooks Online may interrupt accounting sync features and may require additional review or manual correction of records.
Rydek-ERP is provided for internal business use on an "as is" and "as available" basis.
To the maximum extent permitted by law, Robey Tool Inc. disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, reliability, non-infringement, and error-free operation.
To the maximum extent permitted by law, Robey Tool Inc. shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of Rydek-ERP.
This includes, but is not limited to, damages related to lost profits, lost revenue, lost data, business interruption, accounting errors, duplicate transactions, inaccurate records, third-party service failures, QuickBooks Online sync issues, or unauthorized user activity.
Users must comply with all applicable laws, regulations, company policies, accounting controls, data security requirements, and third-party service requirements when using Rydek-ERP.
This Agreement is governed by the laws of the State of Ohio, without regard to conflict of law principles, unless another governing law is required by a written agreement or applicable law.
This Agreement may be updated from time to time. Continued use of Rydek-ERP after an updated Agreement is posted means the user accepts the updated Agreement.
